By accessing or using our Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use our Site or services.

These Terms apply to all users of the Site, including homeowners seeking home repair services ("Homeowners") and contractors offering home repair services ("Contractors"), collectively referred to as "Users" or "you."

1. Description of Services

Repair Connect is a pay-per-lead marketplace that connects homeowners in Southeastern Virginia with vetted local contractors for home repair services. Our platform provides:

• For Homeowners: A convenient way to submit home repair project requests and receive connections to qualified local contractors, along with AI-powered cost estimates for reference purposes.
• For Contractors: Access to exclusive leads from homeowners in need of home repair services within our service area.

Repair Connect acts solely as an intermediary platform connecting Homeowners and Contractors. We do not perform home repair services, employ Contractors, or guarantee the work performed by any Contractor.

2. Eligibility

To use our Site and services, you must:

• Be at least eighteen (18) years of age;
• Have the legal capacity to enter into a binding agreement;
• Reside in or operate a business within our service area of Southeastern Virginia (for service-related features);
• Provide accurate and complete information during registration and use of our services; and
• Not be prohibited from using our services under applicable law.

3. User Accounts

3.1 Account Registration

Certain features of our Site may require you to create an account. When registering, you agree to:

• Provide accurate, current, and complete information;
• Maintain and promptly update your account information;
• Keep your login credentials confidential and secure;
• Accept responsibility for all activities occurring under your account; and
• Notify us immediately of any unauthorized access or use of your account.

3.2 Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause or notice, including but not limited to violations of these Terms.

4. Contractor Terms

4.1 Vetting and Approval

Contractors must complete our vetting process before being listed on our platform. This process may include verification of licenses, insurance, and other credentials as required by applicable law and our internal standards.

4.2 Lead Purchases

Contractors agree to the following regarding lead distribution:

• Leads are provided on a pay-per-lead basis according to our current pricing structure;
• Lead distribution is non-exclusive, meaning a lead may be sent to up to three (3) Contractors;
• Payment for leads is due according to the payment terms established in your Contractor agreement;
• Leads are non-refundable except as expressly provided in our Lead Refund Policy; and
• Contractors are responsible for responding to leads in a timely and professional manner.

4.3 Contractor Responsibilities

Contractors represent and warrant that they:

• Hold all licenses, permits, and insurance required by applicable law to perform home repair services;
• Will perform all services in a professional, workmanlike manner;
• Will comply with all applicable federal, state, and local laws and regulations;
• Will communicate honestly and transparently with Homeowners; and
• Will not engage in any fraudulent, deceptive, or unethical practices.

5. Homeowner Terms

5.1 Project Submissions

By submitting a project request through our Site, Homeowners agree that:

• All information provided about the project is accurate and complete;
• Their contact information may be shared with Contractors for the purpose of providing quotes and services;
• They are authorized to request services for the property in question; and
• They understand that Repair Connect does not guarantee any quotes, timelines, or work quality from Contractors.

5.2 AI-Powered Estimates

Our Site may provide AI-generated cost estimates for home repair projects. Homeowners acknowledge and agree that:

• AI estimates are provided for informational and reference purposes only and are not binding;
• AI estimates are not binding quotes, bids, or guarantees of actual costs;
• AI estimates are provided subject to our AI Estimate Disclaimer;
• Actual costs may vary significantly based on project specifics, materials, labor, and other factors;
• Only the Contractor can provide an accurate, binding quote after assessing the project; and
• Repair Connect is not liable for any discrepancies between AI estimates and actual project costs.

6. Relationship Between Parties

6.1 Independent Contractors

Contractors listed on our platform are independent businesses and are not employees, agents, or representatives of Repair Connect. We do not control, direct, or supervise Contractors' work.

6.2 No Agency Relationship

Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between Repair Connect and any User.

6.3 Contracts for Services

Any agreement for home repair services is solely between the Homeowner and the Contractor. Repair Connect is not a party to such agreements and has no obligations or liability arising therefrom.

7. Prohibited Conduct

Users agree not to:

• Use the Site for any unlawful purpose or in violation of these Terms;
• Provide false, misleading, or inaccurate information;
• Impersonate any person or entity or misrepresent your affiliation;
• Circumvent the platform to avoid lead fees or other charges;
• Harvest, collect, or store personal information of other Users without consent;
• Interfere with or disrupt the Site or servers connected to the Site;
• Attempt to gain unauthorized access to any portion of the Site;
• Use any automated system, including bots or spiders, to access the Site;
• Transmit viruses, malware, or other harmful code;
• Engage in any conduct that restricts or inhibits others from using the Site; or
• Use the Site to advertise or solicit services outside of the platform's intended purpose.

8. Intellectual Property

8.1 Ownership

All content, features, and functionality on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are the exclusive property of Repair Connect or its licensors and are protected by copyright, trademark, and other intellectual property laws.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for its intended purposes, subject to these Terms.

8.3 Restrictions

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from our Site without our prior written consent, except as permitted by these Terms.

9. Disclaimers

9.1 "As Is" Basis

THE SITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantees

REPAIR CONNECT DOES NOT WARRANT OR GUARANTEE:

• The accuracy, completeness, or reliability of any content on the Site;
• That the Site will be uninterrupted, secure, or error-free;
• The quality, safety, or legality of any Contractor's services;
• The qualifications, background, or identity of any User;
• That any Contractor will respond to leads or provide services; or
• The accuracy of any AI-generated estimates or recommendations.

9.3 Third-Party Services

We are not responsible for the acts or omissions of any Contractor or third party, including any damages or losses arising from Contractor services.

You agree to indemnify, defend, and hold harmless Repair Connect, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Site or services;
• Your violation of these Terms;
• Your violation of any rights of any third party;
• Any content or information you submit through the Site;
• For Contractors: any services you provide to Homeowners or any disputes arising therefrom; or
• For Homeowners: any disputes with Contractors arising from services requested through the Site.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution, you agree to first contact us to attempt to resolve the dispute informally. We will attempt to resolve the dispute by contacting you via email within thirty (30) days.

12.2 Binding Arbitration

If informal resolution is unsuccessful, any dispute arising from these Terms or your use of the Site shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Virginia, and the arbitrator's decision shall be final and binding.

12.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13. Governing Law

These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.

14. Changes to Terms

We reserve the right to modify these Terms at any time at our sole discretion. If we make material changes, we will notify you by posting the updated Terms on the Site with a new effective date. Your continued use of the Site after such changes constitutes your acceptance of the modified Terms.

We encourage you to review these Terms periodically for updates.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

16. Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Site, constitute the entire agreement between you and Repair Connect regarding your use of the Site and supersede all prior agreements and understandings.

18. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
